Terms of Service

IMPORTANT — PLEASE READ CAREFULLY. By accessing or using the Bel Air Studios screenplay coverage service ("Service") at coverage.belairstudios.ai (or any associated domain), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
1. The Parties
These Terms are between you ("User," "you") and Bel Air Films, Inc., a Delaware corporation with a registered address of 16192 Coastal Hwy, Lewes, DE 19958 ("Bel Air," "Company," "we," "us," "our").
2. The Service
The Service is an AI-driven screenplay coverage and analysis platform. You upload a screenplay (PDF or Final Draft FDX); we produce a written coverage report containing a literary verdict, commercial verdict, structured rubric scoring, scene-level analysis, and page-anchored revision notes. Coverage delivery is targeted within twenty-four (24) hours of upload, subject to operational constraints.
3. Account Registration
To purchase coverage you must register an account with a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at our contact form of any unauthorized use.
4. Payment and Pricing
Pricing for each tier (Single Coverage, 3-Pack, 10-Pack, Workshop subscriptions, Founding Member lifetime) is displayed on the Service at the time of purchase. Payments are processed by a third-party payment processor (currently ConvergePay). All sales are denominated in U.S. dollars. Sales tax may apply.
5. Refund Policy
Our refund policy is set out in our Refund Policy, which is incorporated into these Terms by reference.
6. Ownership of Your Screenplay
You retain full ownership of any screenplay you upload to the Service. You grant Bel Air a limited, non-exclusive license to store, parse, and analyze your screenplay solely for the purpose of producing the coverage report you requested and for the operational integrity of the Service (backup, debugging, system improvement using aggregated, de-identified signal only).
We do not use your screenplay to train any general-purpose model, do not transfer your screenplay to any third party for any purpose other than payment processing, and do not share your screenplay or your coverage with anyone outside Bel Air without your explicit written consent.
7. Ownership of Coverage Output
The coverage report produced by the Service is provided to you for your private use in connection with the screenplay you submitted. You may share excerpts of the coverage report for legitimate purposes (e.g., with collaborators, producers, agents, managers, or a writers' room). You may not republish the full coverage report publicly or sell it. The methodology, rubric, prompt engineering, and underlying software remain the intellectual property of Bel Air.
8. Acceptable Use
You agree not to: (a) upload material you do not own or have written permission to submit; (b) upload material that infringes intellectual property, defames any person, or is unlawful; (c) attempt to reverse-engineer, scrape, or otherwise extract the underlying engine, prompts, or training material; (d) use the Service to compete with Bel Air's own offerings; (e) probe or test the security of the Service except under a formal responsible-disclosure arrangement with us; (f) use automated tools, bots, or scrapers to access the Service.
9. Service Availability and SLA
We target coverage delivery within twenty-four (24) hours of upload (the "SLA"). The SLA is a target, not a guarantee. If we materially miss the SLA on a paid coverage and the reason is within our reasonable control, we will, at our option, expedite the next coverage at no cost or refund the affected coverage. Maintenance windows, third-party outages, and force majeure are not SLA breaches.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Coverage reports are advisory; they do not guarantee that any screenplay will be sold, optioned, produced, or commercially successful.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEL AIR'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID BEL AIR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL BEL AIR BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Indemnification
You agree to indemnify and hold Bel Air harmless from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of or related to (a) your breach of these Terms, (b) your violation of any law or third-party right, or (c) any material you upload to the Service.
13. Termination
You may terminate your account at any time by contacting our contact form. We may suspend or terminate your account if you breach these Terms or engage in conduct we determine to be harmful to other users, the Service, or Bel Air. Sections that by their nature should survive termination (Ownership, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law) will survive.
14. Modifications
We may modify these Terms from time to time. Material changes will be notified by posting the updated Terms with a new "Last Updated" date. Your continued use after a change constitutes acceptance.
15. Dispute Resolution; Arbitration
Any dispute arising out of or related to these Terms or the Service will be resolved by binding individual arbitration in Delaware, administered by the American Arbitration Association under its Commercial Arbitration Rules. You and Bel Air waive any right to a jury trial and to participate in a class action. Either party may seek injunctive relief in a court of competent jurisdiction for intellectual-property or confidentiality matters.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles.
